What this document is

A proforma invoice is a preliminary bill. It shows exactly what a supply will cost, in the shape of an invoice, before the supply happens — so the customer can raise a payment, open a letter of credit, or get an internal approval.

It is not a tax invoice. It does not create a receivable and should be replaced by a final invoice once you have supplied.

When to use it

  • When a customer’s finance team needs an invoice-shaped document to release funds in advance.
  • For advance payments and deposits on work that has not started.
  • For a customer who needs the exact figures, including VAT, before committing.

What it has to carry

  • The words "Proforma invoice" at the top, so nobody books it as a real invoice.
  • Your registered business name, address, TIN and RC number.
  • A proforma number and a "valid until" date.
  • Full line items and the same totals a real invoice would carry.
  • VAT at 7.5%, added on top of the discounted subtotal. Nigerian VAT is exclusive; it is never carved out of a price you have already quoted.
  • A line saying this is not a tax invoice and a final invoice follows the supply.
